Anta acquires HK$300 million for its brand Fila

Anta Sports announced on the Stock Exchange that it has signed an acquisition agreement with Belle, a well-known shoe manufacturer, and will acquire its two subsidiary companies to acquire the ownership and operation rights of the sports brand Fila owned by Belle and its related marketing network.

ANTA Sports stated that its wholly-owned subsidiary, the original motive power, will acquire the 85% equity interest of Full Prospect held by Belle at the consideration of the acquisition of Full Prospect; the consideration for the transaction is HK$314 million, which is accompanied by a contract for the closing price of the shares. It may cost up to 600 million Hong Kong dollars for this.

In addition, the prime mover will also acquire 100% of Fila Marketing's shares, and the price paid for the sale of the shares is HK$1, provided that Fila Marketing’s holding company Lead Chance waives part of the rights of Fila Marketing and its subsidiaries that owe the Belle Group. Let Fila Marketing and its subsidiaries make a net asset value of HK$1.00 at the date of closing.

Anta and the two companies’ equity relationship after the acquisition transaction is reached

After the transaction was concluded, ANTA Sports still owns 100% of the original driving force. The original driving force owns 85% equity of Full Prospect and 100% equity of Fila Marketing.

Full Prospect is a wholly-owned subsidiary of Belle, which owns and manages the Fila China trademarks in Hong Kong, Macau and the Mainland. Fila Marketing, a 100% wholly-owned subsidiary of Belle, is responsible for the sale of sportswear, footwear and accessories with the Fila China brand in retail sales in Hong Kong and Macau. It currently operates 10 stores in Hong Kong.
